Tucows to Acquire Critical Path
Tucows has signed an agreement to acquire Critical Path’s total assets for US $8 million in cash and assumption of related contractual liabilities.
Tucows Inc has signed an agreement to acquire all of Critical Path Inc’s assets for US $8 million in cash and an assumption of related contractual liabilities.
Critical Path’s assets include hosted messaging assets, customer base, hosted messaging communications infrastructure, and other assets such as goodwill and the software license for Memova Messaging.
Tucows plans to maintain the hosted messaging data centers in Denver, Colorado and London, England.
Tucows Inc provides internet services and download libraries through a global distribution network. Tucows’ network consists of web hosting companies, Internet Service Providers, and other internet related service companies.

The acquisition is expected to close on January 3, 2006. The acquisition will be accounted for as a purchase transaction.
